Since 2016, Rexel's governance has undergone substantial changes in order to ensure the Group's new strategic direction and implementation. At the same time, the duties of the Chairman of the Board of Directors were separated from those of the CEO. The positions are respectively held by Ian Meakins and Patrick Berard.

The Board of Directors is made up of 10 members. In order to fulfill its purpose and to facilitate decision-making, it relies on the advice, suggestions, and recommendations of three specialized committees whose composition and duties are established by the Board: the Audit and Risk Committee, the Nomination Committee, and the Compensation Committee. Composed of 78% independent members, the Board includes 45% women.

The Executive Committee is made up of 9 members and has undergone a 90% renewal over the course of the past three years in order to strengthen the representation of the Group's principal geographic regions and place the highest priority on operational excellence.
